Terms of Service

These Terms govern access to the Needle mobile application, get-needle.com, and related services (the "Service") provided by Get Needle Inc. ("Needle," "we," "us," or "our").

1. Acceptance and authority

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and the Privacy Policy. If you use Needle for a studio or organization, you represent that you can bind it. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 and legally able to enter a contract. Artists and studios are solely responsible for every license, registration, permission, and insurance required for their services. Needle does not verify professional licensing unless expressly stated.

3. What Needle provides

Needle provides software for managing bookings, clients, payments, communications, records, websites, marketing, operations, and related workflows. Features may be released in stages, labeled beta, or changed.

Needle is not a tattoo artist, studio, medical provider, payment processor, employer, or agent of an artist or client. We are not a party to the artist-client contract. Artists and studios control their services, pricing, deposits, cancellation and refund policies, safety practices, aftercare, and client relationships.

4. Accounts and security

Provide accurate information, keep it current, protect credentials, and promptly notify support@get-needle.com of suspected unauthorized access. You are responsible for account activity except to the extent caused by Needle's breach of these Terms or applicable law. Studios control personnel access and must promptly remove access that is no longer authorized.

5. Client, health, and identity records

Artists and studios may create records for people without Needle accounts, including contact details, emergency contacts, health screening, consent, treatment information, identification type and last four characters, communications, and notes.

If you are an artist or studio, you represent that you:

  1. collect and use client information lawfully and provide every required privacy notice;
  2. obtain required consent for health information, identity checks, photographs, communications, and other records;
  3. collect only information reasonably needed and never enter a full government-identification number, including in free-text fields;
  4. keep records accurate, restrict personnel access, and comply with retention requirements; and
  5. reasonably assist clients exercising privacy rights and forward requests when Needle's help is needed.

Needle does not provide medical advice or determine whether tattooing a person is safe. Artists and studios are responsible for professional judgment, sanitation, informed consent, accurate ink-batch records, recalls, and health and safety compliance.

6. Subscriptions, fees, and taxes

Paid plans, usage charges, performance-based charges, and other fees are disclosed in the applicable pricing page, order flow, or subscription screen before purchase. Unless an offer says otherwise, subscription fees are billed in advance and automatically renew until canceled.

Needle may charge a fee for a completed booking attributed to Needle AI while charging no booking fee for other bookings; the amount displayed in the applicable pricing or checkout screen controls. We may change fees prospectively by notice or updated pricing before the next purchase or renewal. You are responsible for applicable taxes other than taxes on Needle's net income.

Except where law or an offer requires otherwise, fees paid to Needle are nonrefundable. Canceling stops future renewals but does not retroactively refund the current billing period.

7. Client payments, deposits, and refunds

Stripe processes client payments, deposits, and artist payouts. Stripe's terms apply, and payout recipients must complete its onboarding. Needle does not receive or store complete payment-card numbers.

Artists and studios administer their service prices, deposits, cancellations, and refunds. Disputes about tattoo services, deposits, cancellations, chargebacks, or refunds are between the artist or studio and client. Needle may provide transaction records or platform support but does not guarantee payment, mediate the underlying service dispute, or issue a refund on an artist's behalf.

8. Messaging and connected services

You are responsible for messages and content sent from your account. Do not harass, threaten, deceive, spam, or violate law. Connecting a calendar authorizes Needle to read permitted information for conflict detection. Connecting a supported social account authorizes Needle to publish content you approve. Each connected service's terms apply.

9. Artificial intelligence

AI outputs may be incomplete, inaccurate, or unsuitable. You must review them and remain responsible for decisions, records, and communications made using them. Actions that write data or send messages require the authorized user to review and approve them. You may not use AI features for unlawful, discriminatory, deceptive, or high-impact decisions about another person.

10. Your content

You retain ownership of submitted content. You grant Needle a worldwide, non-exclusive, royalty-free license to host, store, reproduce, technically format, display, transmit, and publish it only as necessary to provide, secure, and improve the Service and carry out your instructions. You represent that you have all required rights and permissions, including for client photographs and body images.

11. Needle intellectual property

The Service, software, design, branding, documentation, and non-user content are owned by Needle or its licensors. Subject to these Terms, Needle grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose during authorized access.

12. Acceptable use

You may not violate law or another person's rights; access data or systems without authorization; introduce malware; disrupt the Service; bypass security controls; test vulnerabilities without written permission; scrape, reverse engineer, resell, or exploit the Service except where law permits; upload unlawful or harmful content; misrepresent identity or licensing; or provide services you are not legally permitted to provide.

13. Suspension and termination

You may stop using the Service or cancel through available controls. We may suspend or terminate access for material breach, security or legal risk, nonpayment, or legal requirements. When reasonably practicable, we will provide notice and an opportunity to cure. Provisions that should survive will survive, and data retention is governed by the Privacy Policy and law.

14. Availability

We may add, change, suspend, or discontinue features and do not promise uninterrupted or error-free operation. Beta features may be less reliable and may be withdrawn. We will use reasonable efforts to give advance notice when a material discontinuation significantly affects paid customers.

15. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available." Needle disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Needle does not warrant that the Service is uninterrupted, error-free, secure, or suitable for a professional, medical, legal, tax, or regulatory purpose. Nothing excludes a right that cannot legally be excluded.

16. Limitation of liability

To the fullest extent permitted by law, Needle and its directors, officers, employees, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, data, or business interruption.

Their total aggregate liability arising from the Service or these Terms will not exceed the greater of (a) amounts you paid to Needle during the 12 months before the event giving rise to the claim or (b) US$100. These limits do not apply where prohibited by law.

17. Indemnity

To the extent permitted by law, an artist, studio, or organization will defend, indemnify, and hold harmless Needle and its directors, officers, employees, and affiliates from third-party claims, damages, losses, and reasonable legal fees arising from its professional services; client information or content it collects, submits, or discloses; violation of law or another person's rights; or material breach of these Terms. This does not apply to the extent a claim results from Needle's negligence, willful misconduct, or violation of law.

18. Governing law and disputes

These Terms are governed by Delaware law, without regard to conflict-of-law rules. Disputes not resolved informally will be brought exclusively in state or federal courts located in Delaware, and each party consents to jurisdiction and venue. Either party may seek urgent injunctive relief in a court with jurisdiction.

Before filing a claim, contact support@get-needle.com and describe the issue. The parties will try in good faith to resolve it for 30 days. These Terms do not require arbitration or include a class-action waiver.

19. Changes

We may update these Terms at https://get-needle.com/terms and change the date above. If a change materially reduces rights or increases obligations, we will provide reasonable advance notice when required. Continued use after the effective date constitutes acceptance except where law requires another form of consent.

20. General

These Terms and incorporated policies are the entire agreement concerning the Service. If a provision is unenforceable, it will be modified only as necessary and the rest remains effective. Failure to enforce is not a waiver. You may not assign these Terms without consent; Needle may assign them with a merger, acquisition, financing, reorganization, or asset sale.
